This notice describes how health and personal information may be used and disclosed by UNOS and how you can access this information.

1. Who are we?

United Network for Organ Sharing (UNOS) is a non profit corporation on a mission to save and transform lives through research, innovation, and collaboration. UNOS owns and operates UNOS.org and multiple software systems, including UNet^SM, Waitlist, TIEDI^®, Kidney Paired Donation (KPD), DonorNet^®, DonorNet Mobile, TransNet^SM, Secure Enterprise, Data Services Portal, and UNOS One^SM (collectively, “UNOS Systems”).

UNOS is a federal contractor supporting the Organ Procurement and Transplantation Network (OPTN) and in this capacity is designated as a public health authority.

2. Information covered by This Notice

This Notice applies to the following categories of information collected or stored in UNOS Systems:

• Protected Health Information (PHI) governed by the Health Insurance Portability and Accountability Act (HIPAA)
• Substance Use Disorder (SUD) treatment records subject to 42 CFR Part 2, if applicable
• Personal Information and Sensitive Personal Information as defined by applicable state privacy laws.

3. How we use and disclose information

UNOS may use or disclose health and personal information to authorized individuals without authorization where permitted by law, for purposes including:

• Operating and supporting the OPTN and organ donation and transplantation processes
• Public health activities, oversight, audits, and compliance monitoring
• Quality assessment, improvement activities, and system integrity
• Research, analytics, reporting, and statistical analysis subject to legal and contractual safeguards
• Legal, regulatory, contractual, and accreditation compliance

Other uses and disclosures of your protected health information will be made only with your written authorization, unless otherwise permitted or required by law. You may revoke this authorization, at any time, in writing.

4. Special protections for substance use disorder (SUD) records

UNOS does not routinely collect SUD information, but occasionally such information is provided to UNOS by users of UNOS Systems. UNOS will not use or disclose SUD records received from programs subject to 42 CFR Part 2 for civil, criminal, administrative, or legislative proceedings unless permitted or required by law, based on written consent, or pursuant to a qualifying court order.

5. Your rights under HIPAA

If you believe your information is in UNOS Systems, subject to applicable law, you may have the right to:

• Access and obtain a copy of your PHI
• Request amendment of inaccurate or incomplete PHI
• Request an accounting of certain disclosures mad by UNOS of your data to authorized individuals
• Request restrictions on certain uses or disclosures
• File a complaint without retaliation

Certain rights may be limited where UNOS processes information as a public health authority or where disclosure is required by law.

6. UNOS responsibilities

UNOS is legally required to:

• Maintain the privacy and security of PHI and other sensitive information in UNOS Systems
• Provide notice of its legal duties and privacy practices
• Abide by the terms of this Notice

7. Changes to This Notice

UNOS may revise this Notice at any time. Revised Notices are posted on UNOS.org and are effective immediately upon posting.

Anyone can file a privacy complaint.

Your Privacy complaint must:

• Be filed in writing by mail, fax, e-mail, or via the Privacy phone line.
• Name the covered entity or business associate involved, and describe the acts or omissions, you believed violated the requirements of Privacy
• Be filed within 180 days of when you knew that the act or omission complained of occurred. UNOS may extend the 180-day period if you can show “good cause”

Complete as much information as possible, including:

• Your name
• Full address
• Telephone numbers (include area code)
• E-mail address (if available)
• Name, full address and telephone number of the person, agency, or organization you believe violated your (or someone else’s) health information privacy rights or committed another violation of the Privacy or Security Rule
• Brief description of what happened. How, why, and when do you believe your (or someone else’s) health information privacy rights were violated, or how the Privacy or Security Rule otherwise was violated
• Any other relevant information
• Your signature and date of complaint

Upon receipt of a privacy complaint, a member of the UNOS Privacy Office will send a written acknowledgment within 24 hours.

Throughout the duration of the investigation, the UNOS Privacy Office may make some initial contacts and/or verify the basic facts of the situation and/or provide periodic updates to the complainant.

Once the investigation is complete, the Privacy Officer will make a determination about the privacy complaint. Privacy complaint outcomes include: substantiated privacy complaint, unsubstantiated privacy complaint, or unable to determine based on investigation. A letter is then sent to the individual indicating the outcome of the privacy complaint.

The Privacy Officer also maintains a paper and/or electronic file on the matter, as appropriate.

UNOS Systems Terms of Use

The United Network for Organ Sharing (“UNOS”), located at 700 N. 4th Street, Richmond, Virginia 23219, United States, provides access to UNOS Systems to approved transplant professionals and other authorized users for the purposes (“Purposes”) of matching organ donors with potential transplant recipients, fulfilling Organ Procurement and Transplantation Network (“OPTN”) obligations, and providing quality assurance and improvement activities related to organ donation and transplantation. UNOS technology and systems (UNOS Systems”) is defined as any technology, computer software or mobile application under UNOS’s control, whether partial or otherwise, including but not limited to UNet^SM, Waitlist, Tiedit^®, Kidney Paired Donation (“KPD”), Secure Enterprise, Data Services Portal, DonorNett^®, and TransNet^SM, UNet application program interfaces (“APIs”) and UNOS Onet^SM. UNOS Systems collect, store, process and share data and insights among authorized users. UNOS Systems contain personally identifiable information (“PII”) and protected health information (“PHI”) necessary to fulfill the Purposes. The following Terms & Conditions guide all users’ individual use of UNOS Systems. “You” are a visitor or user of UNOS Systems, and by using UNOS Systems, You agree to abide by the following Terms and Conditions.

1. Data Collection and Use. You represent and warrant that you have obtained the proper consents, authorizations, and releases from UNOS and your organization before accessing UNOS Systems. To the extent that your use of UNOS Systems provides you access to PII and PHI, you represent and warrant that you have obtained the proper consents, authorizations, and releases from individuals to the fullest extent required by applicable law before accessing any PII or PHI before accessing UNOS Systems, or that your access, viewing, downloading or other use of any PHI in UNOS Systems is permitted under the Health Insurance Portability and Accountability Act of 1996, and any amendments and regulations promulgated therefrom (“HIPAA”). UNOS may require You to complete a business associate agreement (“BAA”) prior to accessing, or in order to maintain access, to UNOS Systems.

   You are responsible for any PII and PHI that you access in, and export from, UNOS Systems. You represent and warrant that you will access, export, and subsequently use PII and PHI obtained from within UNOS Systems only as permitted by the Purposes, HIPAA and applicable federal and state laws.

2. Notice and Consent. You have no explicit or implicit expectation of privacy when using UNOS Systems. UNOS may intercept, monitor, record, copy, audit, inspect and disclose uses of this system. By using this system, You consent to all such actions and disclosures. UNOS may collect and compile Aggregated Statistics. All right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by UNOS. You acknowledge that UNOS may compile Aggregated Statistics based on data that you input into UNOS Systems. You agree that UNOS may (i) make Aggregated Statistics publicly available in compliance with applicable law, and (ii) use Aggregated Statistics to the extent and in the manner permitted under applicable law. “Aggregated Statistics” means data and information related to your use of UNOS Systems that is used by UNOS in an aggregate manner, including to compile statistical and performance information related to the provision and operation of UNOS Systems. You agree that UNOS may use such information for any purpose related to any use of UNOS Systems by You, including but not limited to: (i) improving the performance of the UNOS Systems or developing updates; and verifying compliance with the terms of this Agreement and enforcing UNOS’s rights, including all intellectual property rights.
3. License Grant and Acceptable Use. You agree to use UNOS Systems only for its intended Purposes. Subject to your compliance with these Terms of Use, UNOS hereby grants you a non-exclusive, non-transferable, non-sublicensable, license to use the UNOS Tools for Licensee’s internal business purposes. You do not acquire any ownership interest in the UNOS Systems or products therein under this Agreement, or any other rights other than to use UNOS Systems in accordance with the license granted under this Agreement, subject to all terms, conditions, and restrictions.
4. Prohibited Use. The following uses of UNOS Systems are prohibited. You may not directly or indirectly:
   1. attempt to interfere with, harm, reverse engineer, steal from, or gain unauthorized access to UNOS Systems, user accounts, or the technology and equipment supporting UNOS Systems; upload malicious code or harmful content
   2. frame or link to UNOS Systems without permission;
   3. use data mining, robots, screen scraping, or other data gathering devices on or through UNOS Systems, unless specifically allowed by UNOS or these Terms; use any “deep link”, “robot”, “spider”, or other automatic device, program, script, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of UNOS Systems or in any way reproduce or circumvent the navigational structure or presentation of UNOS Systems to obtain or attempt to obtain any materials, documents, or information through any means not purposefully made available through UNOS Systems;
   4. impersonate another person, or misrepresent your affiliation with a person or entity;
   5. sell, transfer, or assign any of your rights to use UNOS Systems to a third party without express written consent from UNOS;
   6. use UNOS Systems in a way that violates or potentially violates any federal, state, or local laws or regulations; or in a manner that could damage, disparage, or otherwise negatively impact UNOS
   7. attempt to gain unauthorized access to any portion or feature of UNOS Systems, including without limitation, the account of any other authorized user or any other systems or networks connected to UNOS Systems or to any server used by UNOS or to any services offered on or through UNOS Systems, by hacking, password “mining” or any other illegitimate or prohibited means;
   8. probe, scan, or test the vulnerability of UNOS Systems or any network connected to UNOS Systems, or breach the security or authentication measures on UNOS Systems, or any network connected to UNOS Systems;
   9. reverse look-up, trace, or seek to trace any information on any other authorized user of or visitor to UNOS Systems;
   10. take any action that imposes an unreasonable or disproportionately large load on the infrastructure of UNOS Systems or systems or networks of UNOS or networks connected to UNOS Systems;
   11. use any device, software, or routine to interfere with the proper working of UNOS Systems or any transaction being conducted on UNOS Systems, or with any other person’s use of UNOS Systems;
   12. use UNOS Systems to harvest or collect PII or PHI
   13. market, co-brand, private label, separately distribute, resell or otherwise permit third parties to access and use UNOS Systems without the express, separate and prior written permission of UNOS;
   14. create an intact reproduction of a page or pages of UNOS Systems into another service;
   15. modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the UNOS Systems or any part thereof;
   16. use the UNOS Systems or any part thereof, such as UNOS Tools, for any medical decision-making purpose, as the UNOS Tools are not medical devices and are not intended for diagnosis or treatment purposes.
5. Limitations on Use. You may not use, copy, store, reproduce, transmit, distribute, display, modify, alter, license, sublicense, or commercially exploit UNOS Systems or any contents, information, data or materials provided through UNOS Systems in any manner not expressly permitted by these Terms of Use.
6. Export Regulation. UNOS Systems, or content obtained therein, may be subject to US export control laws, including the US Export Administration Act and its associated regulations. You shall not, directly or indirectly, export, re-export, or release the UNOS Systems, or content obtained therein to, or make UNOS Systems or content created therein accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. You shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, re-exporting, releasing, or otherwise making the UNOS Systems or content obtained therein available outside the US.
7. Data Accuracy. You represent and warrant that the data entered by You in UNOS Systems are accurate, timely, and complete to the best of your knowledge, information and belief; and that these data are based upon information contained in corresponding medical records and other source documents, or where appropriate, are based upon clinical observation.
8. Account Creation and Secure Credentials
   1. You must be at least 18 years old to access UNOS Systems
   2. You agree that if You create an account and use UNOS Systems on behalf of an organization, You represent that You have the necessary legal authority and capacity to do so.
   3. Protecting Your Log-In Credentials. Your account is personal to You, and You may not share your account and log-in information with or allow access to your account by any third party. As You will be responsible for all activity that occurs under your account and access credentials, including all losses incurred by UNOS and others (including patients and UNOS clients) due to any unauthorized use of your account, You should preserve the confidentiality of your username and password, and any device that you use to access UNOS Systems.
9. Notification of Breach. You must notify UNOS Privacy in reasonable detail and as soon as reasonably practical upon discovery of any data or privacy breach. Failure to comply shall constitute a breach of these Terms of Use, which may result in immediate suspension or termination of your account.
10. Communications. You agree to receive email from us at the email address you provided to us for informational and customer service-related purposes.
11. UNOS’s Content – Ownership and Use.
    1. UNOS Content. The contents of UNOS Systems include: designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other UNOS content (collectively, “UNOS Content”). All UNOS Content and the compilation (meaning the collection, arrangement, and assembly) of all UNOS Content are the property of UNOS or its licensors and are protected under copyright, trademark, and other laws.
    2. UNOS Marks. UNOS, the UNOS logo, and other UNOS logos and product and service names are or may be trademarks of UNOS (the “UNOS Marks”). Without our prior written permission, and except as solely enabled by any link provided by us, you agree not to display or use in any manner the UNOS Marks.
    3. UNOS aims to provide but does not guarantee a continuous service free of any interruptions. UNOS may be reliant on third-party vendors for supplying aspects of UNOS Systems to You, and that circumstances beyond our control may cause interruptions from time to time.
12. Consequences of Violating These Terms
    1. UNOS reserves the right to suspend or terminate your account and prevent access to UNOS Systems as a consequence of violating these Terms of Use, with or without notice. We reserve the right to refuse to provide UNOS Systems access to you in the future Reactivation of any suspended or terminated account will be subject to the sole discretion of UNOS.
    2. You are responsible for any claims, fees, fines, penalties, and other liability incurred by us or others caused by or arising out of your breach of these terms and your use of UNOS Systems. In no event will UNOS or its affiliates (including service providers) be liable to you for any use, interruption, delay, or inability to use UNOS Systems
13. Revisions to Terms. We may revise these Terms at any time by posting an updated version to this web page. You must visit this page periodically to review the most current Terms because you are bound by them. Your continued use of UNOS Systems after a change to these Terms constitutes your binding acceptance of these Terms.
14. General Terms
    1. These Terms constitute the entire agreement between you and UNOS concerning your use of UNOS Systems. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. The section titles and annotations in these Terms are for convenience only and have no legal or contractual effect.
    2. These Terms and the relationship between you and UNOS shall be governed by the laws of the state of Virginia without regard to its conflict of law provisions. You and UNOS agree to submit to the personal and exclusive arbitration of any disputes relating to your use of UNOS Systems under the rules of the American Arbitration Association. Any such arbitration, to the extent necessary, shall be conducted in the City of Richmond in the state of Virginia. You covenant not to sue UNOS in any other forum.

1. Purpose and Scope

The UNOS Digital Marketplace (“UNOS Marketplace”) provides a platform for the distribution, access, and use of licensed digital content and services. This Policy governs:

• Content licensing relationships between content providers (“Licensors”), UNOS, and UNOS Marketplace visitors (“Visitors”)
• Use, display, and distribution of content within the Marketplace
• Copyright compliance and Digital Millennium Copyright Act (“DMCA”) procedures
• Marketplace conduct, safety, and product requirements

This Policy applies to all UNOS Marketplace Licensors, Visitors, users, partners, content providers, and developers.

Use of the Marketplace is subject to the UNOS Privacy Policy and Systems Access Terms of Use, which governs any collection and use of information through the platform and use of UNOS system, including UNOS One.

2. Content Ownership and Licensing

All content made available by Licensors in the UNOS Marketplace (“Licensed Content”) remains the property of the Licensor. All content made available by UNOS in the UNOS Marketplace remains the property of UNOS.

2.1 License Grant

Licensor grants UNOS and UNOS Marketplace visitors a limited, non-exclusive, non-transferable, and non-sublicensable license to:

• Access and use content within the Marketplace
• Display and distribute content strictly within permitted Marketplace channels
• Use content solely for authorized, non-commercial or approved commercial purposes

2.2 Restrictions

Visitors may not:

• Modify, create derivative works, or redistribute Licensed Content outside authorized scope
• Use content outside approved platforms or channels
• Remove copyright notices or attribution
• Misrepresent ownership or source of content

3. Marketplace Content Standards and Conduct

Licensors must ensure that all Licensed Content in their UNOS Marketplace offerings comply with the following principles:

3.1 Accuracy and Transparency

Licensed Content must:

• Provide clear, truthful, and accurate descriptions and representations of Licensor’s products’ capabilities and features
• Not mislead UNOS or Visitors regarding origin, ownership, or functionality of Licensed Content

3.2 Safety and Compliance

Licensed Content must not include:

• Fraudulent or deceptive practices
• Illegal activities or prohibited content
• Harmful, offensive, or abusive material
• Defamatory or threatening content
• Personal data in Marketplace content unless expressly authorized by UNOS

3.3 Visitor Protection and Integrity

Licensors must:

• Avoid manipulation of ratings, reviews, or engagement metrics
• Protect Visitors from exploitation or misleading commercial practices, and inappropriate data collection practices
• Ensure any external websites linked through the Marketplace maintain a publicly available privacy policy and comply with applicable data protection laws
• Provide a safe experience for all Visitors

UNOS is not responsible for the privacy or data practices of third-party websites accessed through Marketplace links.

Any Marketplace usage or performance reporting provided to Licensors will be aggregated and will not include personal user data.

4. User-Generated Content

Where Licensors submit Licensed Content:

• Licensors retain ownership of their Licensed Content
• Licensors grant UNOS a worldwide, non-exclusive license to host, display, and distribute such content for UNOS Marketplace operations
• UNOS may moderate, remove, or restrict Licensed Content that violates this Policy

5. Copyright and DMCA Compliance

5.1 Copyright Protection

UNOS respects intellectual property rights and requires all Marketplace Licensors and Visitors to do the same.

5.2 Reporting Copyright Infringement & Takedown Procedure

Marketplace Licensors and other copyright owners may submit a DMCA notice to UNOS at [email protected]. Such notice should include:

• Identification of the copyrighted work
• Identification of the allegedly infringing material
• Contact information for the complainant
• A good faith belief statement
• A statement of accuracy under penalty of perjury

Upon receipt of a valid notice, UNOS will:

• Promptly review the claim
• Remove or disable access to infringing material
• Notify the affected Licensor and/or Visitor

5.3 Counter-Notification

Users may submit a counter-notice to dispute removal, after which UNOS may allow content to be restored if appropriate.

5.4 Repeat Infringers

UNOS reserves the right to terminate accounts of repeat infringers.

5.5 Safe Harbor Compliance

UNOS will comply with DMCA safe harbor provisions, including prompt action to remove infringing content upon notice.

6. Content Hosting and Operational Responsibilities

UNOS, as a host of a content-hosting platform, will:

• Maintain systems to host and deliver content reliably
• Address user complaints and rights claims promptly
• Cooperate in investigations of intellectual property issues

7. Enforcement and Termination

UNOS reserves the right to:

• Remove Licensor Content that violates this Policy
• Suspend or terminate Licensor and Visitor access for violations, including immediate termination for material breaches

8. Intellectual Property and Trademark Use

• All trademarks remain the property of their respective owners
• Use of marks requires prior authorization
• All goodwill accrues to the trademark owner

9. Limitation of Liability

To the fullest extent permitted by law:

• UNOS is not liable for indirect or consequential damages
• Liability is limited to amounts specified in applicable Licensor agreements

10. Updates to Policy

UNOS may update this Policy periodically. Continued participation by Licensors and Visitors constitutes acceptance of updated terms.

Policy and Procedures on Financial Conflict of Interest to Promote Objectivity in Public Health Service-Funded Research

Purpose

United Network for Organ Sharing (“UNOS”) adopts this Policy to promote objectivity in PHS-Funded Research by establishing standards that provide a reasonable expectation that the design, conduct, and reporting of such PHS-Funded Research are free from bias resulting from Investigators’ Financial Conflicts of Interest. UNOS adopts this Policy as required to implement and to comply with U.S. Public Health Service (“PHS”) regulations promoting objectivity in research.

When you transmit, upload, post, email or otherwise make available data, text, software, music, sound, photographs, graphics, images, videos, messages or other materials on United Network for Organ Sharing’s websites or social media outlets, you give UNOS the irrevocable right to reproduce, distribute, publish, display, edit, modify, create derivative works from, and otherwise use your submission for any purpose in any form and on any media. You also agree that you will not:

1. Post material that infringes on the rights of any third party, including intellectual property, privacy or publicity rights.
2. Post material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by UNOS in its sole discretion.
3. Post advertisements or solicitations of business.
4. Impersonate another person.
5. Allow any other person or entity to use your identification for posting or viewing comments.
6. Post the same note more than once or “spam.”
7. Make any attempt to solicit organ donation from a deceased donor ahead of other waiting candidates in a manner that subverts the established principles and objectives of equitable organ allocation.

UNOS reserves the right (but is not obligated) to do any or all of the following, in its sole discretion:

Upon entering any United Network for Organ Sharing (UNOS) sponsored event, program or meeting, you enter an area where photography, audio, and video recording may occur.

By entering the event premises, you consent to interview(s), photography, audio recording, video recording and its/their release, publication, exhibition, or reproduction to be used for news, web casts, promotional purposes, telecasts, advertising, inclusion on websites, social media, or any other purpose by UNOS, the Organ Procurement Transplantation Network (OPTN), and its affiliates and representatives.

Images, photos and/or videos may be used to promote similar events in the future, and highlight the event. You release UNOS and the OPTN, its officers and employees, and each and all persons involved from any liability connected with the taking, recording, digitizing, or publication and use of interviews, photographs, computer images, video and/or or sound recordings.

By entering the event premises, you waive all rights you may have to any claims for payment or royalties in connection with any use, exhibition, streaming, web casting, televising, or other publication of these materials, regardless of the purpose or sponsoring of such use, exhibiting, broadcasting, web casting, or other publication irrespective of whether a fee for admission or sponsorship is charged. You also waive any right to inspect or approve any photo, video, or audio recording taken or the person or entity designated to do so.

You authorize UNOS to use photographic, digital or video images of you including audio, and works derived from the audio for the purpose of promoting UNOS, its programs, and organ transplantation on a variety of platforms including but not limited to social media, website, educational brochures and fundraising materials in such manner and for such length of time as UNOS may determine in its sole discretion.

Authorization is subject to revocation in writing at any time except to the extent that UNOS has already taken action in reliance on it. You may revoke Authorization by written notification to the following: [email protected].

You have been fully informed of your consent, waiver of liability, and release before entering the event.

Authorization and Agreement for UNOS Services

The undersigned institution (“Member Organization”) is a member of the United Network for Organ Sharing (“UNOS”).

Authorization. Member Organization, which is also a member of the Organ Procurement and Transplantation Network (“OPTN”), hereby authorizes UNOS to receive the data Member Organization has supplied to the OPTN that Member Organization is entitled to receive, pursuant to 42 C.F.R. §121.11(b)(1)(vii), which requires the OPTN to “Provide data to an OPTN member, without charge, that has been assembled, stored, or transformed from data originally supplied by that member.”

UNOS Services. Member Organization authorizes UNOS to use these data to provide analytical reports, products, and other tools (collectively, “Services”) to support Member Organization’s quality and improvement efforts. Member Organization authorizes UNOS to receive these data as frequently as UNOS deems reasonably necessary to provide the Services.

Rights in Data and Services. These data shall remain the sole property of Member Organization. UNOS solely owns all Services created for Member Organization, and grants Member Organization an unrestricted, perpetual, worldwide, royalty free license to the Services that are provided to Member Organization containing my Member Organization’s data.

Security. UNOS will use appropriate administrative, physical and technical safeguards to prevent use or disclosure of the data and to prevent unauthorized use or access to the data.

Duration of Authorization and UNOS Services. UNOS will provide the Services to Member Organization as a condition of Member Organization’s ongoing membership in UNOS. If Member Organization ceases its membership in UNOS, it will no longer receive the Services from UNOS.

This authorization and agreement (collectively, “Agreement”) is effective as of the date it is signed by Member Organization and will be effective until the next September 30; this Agreement will automatically renew for successive one year terms on October 1 of each successive year. This Agreement may be terminated by either party for any, or no, reason upon written notice to the other party at least thirty (30) days in advance.

I represent that I am authorized to sign this Agreement, and that all necessary approvals and authorizations have been made prior to the signing of this Agreement.
